Terms of Service

1. Acceptance of Terms

By accessing or using NuMoon (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms constitute a legally binding agreement between you and NuMoon.

2. Service Description

NuMoon is a business intelligence platform that connects to your existing business tools via OAuth integrations to provide analytics, insights, and actionable recommendations. The Service aggregates data from your connected platforms, applies AI-driven analysis, and delivers playbooks to help you optimize your business operations.

3. Accounts

To use the Service, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials and API keys
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the authority to bind your organization to these terms.

4. Subscription and Billing

• NuMoon is offered on a subscription basis, billed monthly or annually
• All fees are non-refundable except as required by applicable law
• We reserve the right to change pricing with 30 days' notice
• Design Partner pricing is locked in for the duration of the partner agreement
• If payment fails, we will attempt to charge your payment method for up to 14 days before suspending access

5. Data Ownership

You retain full ownership of all data you provide to or connect with NuMoon. We do not claim any intellectual property rights over your business data. You grant NuMoon a limited, non-exclusive license to access, process, and analyze your data solely for the purpose of providing the Service to you. This license terminates when you disconnect an integration or close your account.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use automated scripts to access the Service in a manner that degrades performance for other users
• Resell, sublicense, or redistribute the Service without our written consent
• Upload malicious code, viruses, or other harmful content

7. Service Level

We strive to maintain 99.9% uptime for the Service. Scheduled maintenance windows will be communicated in advance. We are not responsible for downtime caused by third-party integration providers, force majeure events, or circumstances beyond our reasonable control. The accuracy of insights and recommendations depends on the quality and completeness of data from your connected tools.

8. Limitation of Liability

To the maximum extent permitted by law, NuMoon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising from these terms or the Service shall not exceed the amount you paid to NuMoon in the twelve (12) months preceding the claim. NuMoon provides AI-generated insights and recommendations as decision-support tools. You are solely responsible for any business decisions made based on information provided by the Service.

9. Termination

Either party may terminate this agreement at any time:

• By you: Cancel your subscription at any time from your account settings. Your access continues until the end of the current billing period.
• By NuMoon: We may suspend or terminate your account for violation of these terms, non-payment, or if required by law, with notice where practicable.

Upon termination, we will delete your data within 30 days. You may request a data export before account closure.

10. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through a notice on the platform at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.
